Terms of Use
1. Acceptance of Terms
These Terms of Use ("Terms") form a binding agreement between you and Nventori ("Nventori," "we," "us," or "our") governing your use of the Nventori mobile application, related websites, and associated services (collectively, the "Service"). By creating an account, signing in, or otherwise using the Service, you accept these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements.
3. Accounts
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You agree to provide accurate, current, and complete information when creating an account, and to keep that information up to date.
- We may suspend or terminate accounts that violate these Terms, at our sole discretion.
4. Vendor Obligations
If you create a vendor account or list a shop on Nventori, you additionally represent and warrant that:
- You own, operate, or are authorized to represent the shop you list.
- Every product listing accurately reflects your actual inventory, including the product name, condition, price, and quantity.
- You will not list counterfeit, stolen, recalled, or otherwise unlawful goods.
- Any brand you list as carried by your shop is one you actually carry as genuine merchandise. You will not falsely claim to carry a brand whose products you do not actually sell.
- You will comply with all applicable laws regarding the sale of the products you list, including consumer protection, tax, and import regulations.
- You will respond to buyer inquiries and offers in good faith.
5. Brand Names and Logos
All brand names and logos displayed in the Service are trademarks or registered trademarks of their respective owners. Nventori is not affiliated with, endorsed by, or sponsored by any brand whose name or logo appears in the Service. Logo imagery is sourced from publicly available third-party libraries (including the Simple Icons project, distributed under the Creative Commons CC0 license); the underlying marks remain the property of their owners.
Nventori may display brand names, logos, and trademarks alongside the shops that have self-declared as carrying those brands. Such display is descriptive use — identifying the products that a given shop sells — and is provided under the doctrines of nominative fair use (where applicable) and equivalent local provisions, including but not limited to Article 132 of Brazilian Law No. 9,279/1996.
Nventori does not claim ownership of, partnership with, sponsorship by, or endorsement from any third-party brand whose marks appear in the Service. Brand owners who believe a vendor is falsely claiming to carry their products may contact us using the address in Section 14 to request removal of the brand association from that vendor's listing. We will review such requests in good faith and act promptly to remove brand associations where the vendor's claim cannot be substantiated.
Vendor warranty. By listing a brand on your shop profile, you warrant that you have the right to claim that brand and that the products you sell under that brand are genuine. You agree to indemnify and hold Nventori harmless from any third-party claim, including from brand owners, arising from your false or unauthorized claim of carrying a brand.
6. Buyer Use
Buyers may use the Service to search for products, view shop information, contact vendors, and make offers. Buyers are responsible for their own purchase decisions, including verifying product authenticity, pricing, and condition with the vendor in person before committing to a transaction. Nventori is not a party to any transaction between vendors and buyers.
7. User Content
You retain ownership of content you submit to the Service (shop descriptions, product names, photos, search queries, suggestions). By submitting content, you grant Nventori a non-exclusive, royalty-free, worldwide license to host, display, and otherwise use that content for the purpose of operating, providing, and improving the Service.
You are solely responsible for the content you submit. You must not submit content that infringes the intellectual property rights of any third party, that is unlawful, defamatory, deceptive, or that you do not have the right to submit.
8. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- List counterfeit goods, stolen goods, recalled products, or any merchandise prohibited by law.
- Misrepresent your identity, your shop's identity, or the brands you carry.
- Interfere with the operation of the Service, attempt to bypass any access controls, or scrape data at scale.
- Use the Service to harass, defraud, or harm other users.
- Resell, sublicense, or otherwise commercialize access to the Service without our prior written consent.
9. Suspension and Termination
We may suspend or terminate your account, remove your listings, or restrict your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we determine such action is necessary to protect the Service, other users, or third-party rights. You may terminate your account at any time by using the in-app deletion flow or by contacting us.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THE ACCURACY, RELIABILITY, OR AVAILABILITY OF INVENTORY INFORMATION, PRICING, OR SHOP DETAILS DISPLAYED IN THE SERVICE. WE DO NOT GUARANTEE THAT ANY SHOP WILL HAVE A LISTED PRODUCT IN STOCK OR AT THE LISTED PRICE AT THE TIME OF YOUR VISIT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NVENTORI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NVENTORI IS NOT A PARTY TO ANY TRANSACTION BETWEEN VENDORS AND BUYERS AND IS NOT LIABLE FOR DISPUTES, REFUNDS, PRODUCT DEFECTS, OR ANY OTHER MATTER ARISING FROM SUCH TRANSACTIONS.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nventori and its officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your content or listings; (c) your violation of these Terms; or (d) your violation of any third-party right, including without limitation any intellectual property right.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified in-app or by email, and the updated version will be posted at the same URL as this document with an updated effective date and version number. Continued use of the Service after the effective date of an updated version constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.
14. Governing Law and Disputes
These Terms are governed by the laws of the Federative Republic of Brazil, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall be submitted to the competent courts of the State of São Paulo, Brazil, to the exclusion of any other forum, unless mandatory consumer protection law requires otherwise.
15. Language and Translations
This document is published in English as the official and legally binding version. The Nventori mobile application may display machine-generated translations of the Service's user-interface text, including portions of this document, in other languages for the reader's convenience. Such translations are provided "as is" and are not legally binding. In the event of any conflict, ambiguity, or inconsistency between the English version and any translation, the English version shall prevail.
